Terms & Conditions

The terms and conditions means this agreement (hereinafter referred to as “Agreement”) between you (hereinafter referred to as “Client” or “you” or “your”) and FJ Concepts (hereinafter referred to as “FJ Concepts” or “our”, “us” or “we”) which governs your subscription of services provided by FJ Concepts.

The following terms and conditions apply to web design, development, graphic design and other internet related services provided by FJ Concepts to the Client.

Acceptance

It is not necessary for any Client to have signed an acceptance of these terms and conditions for them to apply. If the Client accepts a quote or made payments, then you confirm that you have agree to the terms and conditions in full.

Please read these terms and conditions carefully. Any purchase or use of our services implies that you have read and accepted our terms and conditions.

Browser Compatibility

Designing a website to fully work in multiple browsers (browser versions and resolutions) can require considerable extra work and could also invoice creating multiple versions of code/pages. FJ Concepts makes every effort to ensure websites are designed to work with the most popular current browsers (e.g. Microsoft Internet Explorer, Google Chrome, Firefox, Safari, etc.). Client agrees that FJ Concepts cannot guarantee correct functionality with all browser software across different operating systems.

Copyrights

The Client guarantees that any element of text, graphics, photos, trademarks or other artworks furnished to FJ Concepts are owned by the Client or that the Client has obtain permission and rights to use any information or files that are copyrighted by a third party. The Clients agrees to indemnify and hold harmless FJ Concepts from any liability (including attorney’s fees and court costs) and claims arising from the use of such elements furnished by the Client.

The Client will be assigned rights to use the website once final payment and any additional charges incurred have been paid. Rights to stock photos, graphics, work-up files, and computer programs are specifically not transferred to the Client and remain the property of their respective owners. FJ Concepts retain the right to display graphics and other website developed as a part of our portfolio.

Payment

Invoices will be provided by FJ Concepts for any services provided. Invoices are normally sent via email. Invoices for web development projects are due upon receipt, otherwise invoices for other services are due within 30 days of the invoice date. All payments should be made to FJ Concepts and all pricing is in US dollars.

Any fees not paid within 30 days of the invoice may incur late fees of 10% for every thirty days overdue. In case any invoice is overdue, FJ Concepts reserves the right to stop work without any further communication or suspend services that are outstanding.

Additional Expenses

Client agrees to reimburse FJ Concepts for any additional expenses necessary for the completion of the work. This includes, without limitation, fonts, plugins, images and stock photography.

Term & Termination

Termination of services by the Clients must be requested in a written notice and will be effective on receipt of such notice. Telephone requests for termination of services will not be honored unless confirmed in writing. The Client will be invoiced for work completed to the date of first notice of cancellation for payment in full within 30 days.

FJ Concepts may terminate this Agreement upon notice for your material breach of obligations including but not limited to the nonpayment of fees.

Indemnity

All FJ Concepts services may be used for lawful purposes only. You agree to indemnify and hold harmless FJ Concepts from and against any and claims resulting from your violation of the Terms.

Entire Agreement

This Agreement, contains the entire understanding and agreement between the parties hereto with respect to the subject matter and supersedes any prior or contemporaneous written or oral agreements, representations or warranties between the parties with respect to the subject matter hereof.

Severability

If any term, provision, covenant or condition of this Agreement or the application thereof to any person, place or circumstance, shall be held by a court of competent jurisdiction to be invalid, unenforceable or void, the remainder of this Agreement and such term, provision, covenant or condition as applied to other persons, places and circumstances shall remain in full force and effect.

Governing Law

This Agreement shall be construed in accordance with, and all actions arising hereunder shall be governed by the laws of the State of Rhode Island.
